2.2 Service Limitations

While we strive to provide reliable and high-quality Services, certain limitations apply:

• Services are provided "as is" and "as available" without warranties of any kind
• We do not guarantee uninterrupted or error-free operation of the Services
• AI-generated responses may not always be accurate, complete, or appropriate
• Usage limits may apply based on your subscription plan

3. User Accounts

5. Data and Privacy

6. Payment Terms

• Third-party service disruptions
• Network or infrastructure problems

8.2 Maintenance and Downtime

We reserve the right to:

• Perform scheduled maintenance with advance notice when possible
• Conduct emergency maintenance without notice when necessary
• Temporarily suspend Services for maintenance, updates, or security reasons

We will make reasonable efforts to minimize service disruptions and provide advance notice of scheduled maintenance.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINIMAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Business interruption or loss of goodwill
• Cost of substitute services or procurement of replacement goods
• Damages arising from unauthorized access to or alteration of your data

This limitation applies regardless of the theory of liability (contract, tort, negligence, or otherwise) and whether or not we have been advised of the possibility of such damages.

9.3 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF:

• The total amount you paid to us in the 12 months preceding the claim, or
• $100 USD

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Minimal, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your Use of Services: Your access to or use of the Services, including any content you submit or actions you take
• Violation of Terms: Your violation of these Terms, our policies, or any applicable laws or regulations
• Third-Party Rights: Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights
• End User Claims: Any claims by your end users arising from their interaction with your AI assistant or use of your website

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claim.

11. Termination

11.1 Termination by You

You may terminate these Terms at any time by:

• Canceling your subscription through your account settings
• Ceasing all use of the Services
• Sending written notice to us at legal@minimal.lat

11.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms or our policies
• Non-payment of fees when due
• Fraudulent, illegal, or harmful activity
• Extended periods of inactivity
• At our sole discretion for any other reason

11.3 Effects of Termination

Upon termination of these Terms:

• Your right to access and use the Services will immediately cease
• We may delete your account and all associated data after a reasonable grace period
• You remain liable for any fees incurred prior to termination
• Sections of these Terms that by their nature should survive termination will continue to apply
• You may request a copy of Your Data within 30 days of termination, subject to technical limitations

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

12.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, for the resolution of any disputes arising from or related to these Terms or the Services.

12.3 Dispute Resolution

Before filing any legal action, you agree to attempt to resolve any dispute informally by contacting us at legal@minimal.lat. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, either party may pursue formal legal remedies.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Minimal regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.

13.2 Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Post the updated Terms on our website
• Update the "Last updated" date at the top of these Terms
• Notify you via email or through the Services when practical

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

13.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
